1. Agreement

These Terms govern access to Vidrick’s website, downloads, accounts, subscriptions, support, and related services. The desktop software is also governed by the End User License Agreement (“EULA”). By creating an account, purchasing a plan, downloading the software, or using the services, the customer agrees to these Terms and the EULA.

2. Eligibility

The customer must have legal capacity to enter an agreement. A person acting for an organization represents that they have authority to bind that organization.

3. Plans and subscriptions

Vidrick may offer Personal, Professional, Business, trial, promotional, or other plans. The checkout page will state the current price, billing interval, included features, device or user limits, taxes, trial terms, and renewal terms.

Paid subscriptions automatically renew until canceled where permitted by law. Customers may cancel through the applicable customer portal or payment provider. Cancellation stops future renewals but does not ordinarily reverse a charge already completed unless required by law or the stated refund policy.

4. Trials

Any free trial is limited to the duration and features stated at signup. Vidrick may require a payment method and may convert the trial to a paid subscription when clearly disclosed at checkout. Abuse of trials, including repeated account creation, may result in suspension.

5. Payments, taxes, and failed payments

Customers authorize the payment provider to charge applicable fees, recurring subscription amounts, and taxes. Customers are responsible for accurate billing information. Failed or disputed payments may result in suspension or termination of paid access.

6. Refunds

The final refund policy will be displayed before purchase and incorporated into these Terms. Nothing in these Terms limits mandatory refund, cancellation, or consumer rights provided by applicable law.

7. Account security

Customers are responsible for protecting account credentials and license keys and for activity performed through their accounts. Suspected unauthorized access should be reported promptly.

8. Acceptable use

Customers may not use Vidrick to violate law, intellectual-property rights, privacy rights, recording-consent requirements, confidentiality obligations, export restrictions, or the rights of others. Customers may not distribute malware, interfere with Vidrick infrastructure, abuse update or licensing services, circumvent technical restrictions, or misrepresent entitlement to use the software.

9. User content

Customers retain their rights in recordings, media, transcripts, summaries, and exports. Customers are solely responsible for their content and for obtaining all rights and permissions necessary to process it.

10. Software license

Use of the desktop application is licensed, not sold, under the EULA and the limits of the purchased plan.

11. Updates and availability

Vidrick may provide updates, security fixes, feature changes, or model downloads. Features may be changed or discontinued. Vidrick does not promise uninterrupted, error-free, or permanently available operation.

12. Third-party services and software

Vidrick relies on third-party services and incorporates open-source and redistributable components. Those components may be governed by separate notices and licenses. Third-party services are subject to their own terms and privacy practices.

13. Support

Support is provided through support@vidrick.ai. Any stated response time is a target, not a guarantee, unless included in a separate written Business agreement.

14. Suspension and termination

Vidrick may suspend or terminate access for nonpayment, fraud, abuse, material breach, security risk, or legal necessity. Cancellation or termination does not automatically delete files stored locally on the customer’s computer.

15. Disclaimers

To the maximum extent permitted by law, Vidrick and related services are provided “as is” and “as available.” Vidrick disclaims implied warranties to the extent legally permitted. Mandatory consumer warranties remain unaffected.

16. Limitation of liability

The final liability limitations and any monetary cap must be reviewed for the jurisdictions where Vidrick will be sold. Nothing will exclude liability that cannot legally be excluded.

17. Governing law and disputes

These Terms are governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought in the state or federal courts located in Lee County, Florida, unless applicable consumer law requires another forum.

18. Changes

Vidrick may update these Terms. Material changes will be communicated by reasonable means and will apply as permitted by law.
