1. Scope
This EULA governs installation and use of Vidrick AI Transcriber and associated updates, models, documentation, and support materials.
2. License grant
Subject to payment, plan limits, and compliance with this EULA, Vidrick grants the licensee a limited, non-exclusive, non-transferable, revocable license to install and use Vidrick during the applicable subscription or licensed term.
The license is limited to the users, devices, seats, organizations, and purposes allowed by the purchased plan.
3. Ownership
Vidrick and its licensors retain all right, title, and interest in the application, source code, branding, documentation, services, and updates. The software is licensed, not sold. The licensee retains ownership of recordings, transcripts, and other customer content.
4. Permitted use
The licensee may use the application for lawful transcription and related processing. One backup copy may be retained solely for archival or recovery purposes if consistent with the purchased plan.
5. Restrictions
Except where applicable law expressly permits otherwise, the licensee may not:
- copy or redistribute the application beyond permitted installations;
- sell, rent, lease, sublicense, host, or provide the application as a service to others without written authorization;
- bypass activation, subscription, update, or device-limit controls;
- reverse engineer, decompile, or disassemble the application;
- remove proprietary notices;
- use update, download, or licensing infrastructure in an abusive or unauthorized manner;
- use the application for unlawful surveillance, recording, infringement, or privacy violations.
6. Devices and activations
Each plan may have device or seat limits. A device may be registered during activation. Customers may be permitted to deactivate or transfer devices through a customer portal. Exact limits will be stated at purchase.
7. Offline use and validation
After activation, Vidrick may cache a signed entitlement locally and permit offline use for a stated grace period. The application may periodically require internet access to verify that the subscription remains active and that device limits have not been exceeded.
Vidrick is intended to allow up to 30 days of offline use after a successful license validation. The application may require revalidation after that period. Final implementation details will be shown before purchase.
8. Updates
An active plan may include updates during the paid term. Vidrick may automatically check for updates when enabled. Security, compatibility, or licensing updates may be required to continue using online services.
9. Optional models and components
Vidrick may download optional transcription or speaker-processing models. Third-party software and models are governed by their respective licenses and notices. No license is granted to third-party components beyond the rights provided by their licensors.
10. Customer responsibilities
The licensee is responsible for:
- obtaining all legally required recording and transcription consent;
- maintaining appropriate security and backups;
- reviewing outputs for accuracy before relying on them;
- protecting confidential or regulated information;
- complying with employment, healthcare, legal, educational, privacy, and other applicable requirements.
11. Accuracy and professional use
AI transcription, diarization, summaries, and action items may contain errors. Vidrick is not a substitute for professional judgment. Outputs should be reviewed before use in legal, medical, financial, employment, compliance, safety-critical, or other consequential contexts.
12. Term and termination
This EULA begins when the application is installed or used and continues until ended. Subscription-based rights may expire when the subscription ends. Vidrick may terminate the license for material breach, fraud, abuse, or nonpayment.
Termination does not transfer customer-owned local files to Vidrick and does not automatically delete them.
13. Warranty disclaimer
To the maximum extent permitted by law, the application is provided “as is” without warranties of uninterrupted operation, error-free output, fitness for a particular purpose, or noninfringement. Mandatory legal warranties remain unaffected.
14. Limitation of liability
for intended sales jurisdictions. Liability that cannot legally be excluded remains unaffected.
15. Export and sanctions
The licensee may not use or export the application in violation of applicable export-control, sanctions, or trade laws.
16. Governing law
This EULA is governed by the laws of the State of Florida, without regard to conflict-of-law principles. Any dispute not resolved informally will be brought in the state or federal courts located in Lee County, Florida, unless applicable consumer law requires another forum.
